1. Parties to the Agreement

This Service Agreement is entered into between:

And the Client, as identified at the time of service engagement through the submission of a contact form, signed proposal, or payment.

2. Scope of Services

Animus Liber LLC offers the following core services:

2.1 Financial Health Audit

A one-time comprehensive assessment of the Client's personal financial situation, including income and expense analysis, debt structure review, savings and investment gap identification, and a personalized written action plan with 30/60/90-day recommendations. Includes one (1) follow-up session.

2.2 Strategic Advisory Program

An ongoing monthly engagement providing personalized 1-on-1 advisory sessions, portfolio review and guidance, goal tracking, tax-efficiency consultation, priority communication support, and quarterly progress reports. Engagement is on a month-to-month basis unless a fixed-term agreement is signed.

2.3 Financial Mastery Course

A structured educational program consisting of eight (8) modules covering personal finance, budgeting, debt management, investing fundamentals, and wealth building. Includes digital materials, worksheets, calculators, and access to community forums and scheduled live Q&A sessions.

The specific deliverables, timeline, and pricing for each engagement will be detailed in a separate written proposal or order confirmation provided to the Client prior to the start of services.

3. Fees and Payment

3.1 All fees are quoted in United States Dollars (USD) and are communicated to the Client in advance.

3.2 Payment for one-time services (Financial Health Audit, Financial Mastery Course) is due in full prior to commencement of services, unless otherwise agreed in writing.

3.3 Monthly recurring services (Strategic Advisory Program) are billed at the start of each monthly cycle. Failure to pay within seven (7) calendar days of the due date may result in suspension of services.

3.4 Animus Liber LLC reserves the right to revise its pricing with thirty (30) days' advance written notice to existing Clients.

3.5 All payments are non-refundable once services have commenced, except as provided under Section 6 (Cancellation and Refund Policy).

4. Client Responsibilities

4.1 The Client agrees to provide accurate, complete, and timely information necessary for the delivery of services.

4.2 The Client acknowledges that the quality and usefulness of advice is directly dependent on the accuracy of the information provided.

4.3 The Client is responsible for the implementation of any recommendations made by the Company. Implementation decisions rest solely with the Client.

4.4 The Client agrees to attend scheduled sessions at agreed times. Sessions missed with less than 24 hours' notice may be forfeited.

5. Nature of Services — Important Disclaimer

5.1 Educational and Informational Purposes Only. All services provided by Animus Liber LLC are for educational and informational purposes. Nothing provided constitutes licensed financial advice, investment advice, legal advice, tax advice, or accounting advice as defined by applicable federal or state law.

5.2 Animus Liber LLC is not a registered investment advisor, broker-dealer, financial planner, accountant, or attorney. Clients should consult licensed professionals for specific legal, tax, and investment decisions.

5.3 Past results discussed in any educational materials do not guarantee future performance. All financial decisions carry risk, and the Client assumes full responsibility for their financial choices.

6. Cancellation and Refund Policy

6.1 One-Time Services: Clients may cancel within forty-eight (48) hours of payment, provided that no deliverables have been prepared or sessions conducted, for a full refund. No refunds are issued after services have commenced.

6.2 Monthly Advisory: Clients may cancel the Strategic Advisory Program at any time with fifteen (15) days' written notice. No partial-month refunds will be issued. The Client retains access to services through the end of the paid billing period.

6.3 Educational Courses: Once access to course materials has been granted, no refunds will be issued. In exceptional circumstances, Animus Liber LLC may grant a store credit at its sole discretion.

6.4 Refund requests must be submitted in writing via email to hello@animusliber.xyz.

7. Confidentiality

7.1 Animus Liber LLC agrees to maintain the confidentiality of all personal and financial information shared by the Client and to use such information solely for the purpose of delivering contracted services.

7.2 The Client's information will not be sold, rented, or disclosed to third parties, except as required by law or with the Client's prior written consent.

7.3 The Client agrees not to disclose proprietary materials, frameworks, templates, or methodologies provided by Animus Liber LLC to third parties.

8. Intellectual Property

8.1 All content, materials, course modules, templates, worksheets, tools, and resources created by or licensed to Animus Liber LLC are protected by copyright and remain the exclusive intellectual property of Animus Liber LLC.

8.2 Clients are granted a limited, non-exclusive, non-transferable license to use materials solely for their personal, non-commercial financial planning purposes.

8.3 Reproduction, distribution, resale, or commercial use of any Company materials without prior written authorization is strictly prohibited.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, Animus Liber LLC, its members, officers, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our services or the implementation of our recommendations.

9.2 The Company's total aggregate liability for any claim arising from this Agreement shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.

10. Indemnification

The Client agrees to indemnify, defend, and hold harmless Animus Liber LLC and its members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with the Client's breach of this Agreement or misuse of the Company's services or materials.

11. Communication and Electronic Consent

11.1 By engaging our services, the Client consents to receive communications from Animus Liber LLC via email.

11.2 Electronic signatures and agreements are considered valid and binding under applicable U.S. electronic commerce laws.

12. Modifications to Terms

Animus Liber LLC reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting to the website. Continued use of our services after any modification constitutes acceptance of the revised terms. Clients with active engagements will be notified by email of material changes.

13. Governing Law and Dispute Resolution

13.1 This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

13.2 Any dispute arising out of or relating to this Agreement shall first be subject to good-faith negotiation. If not resolved within thirty (30) days, the parties agree to submit to binding arbitration in Albuquerque, New Mexico, under the rules of the American Arbitration Association.

13.3 Nothing in this clause prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction.

14. Entire Agreement

This Agreement, together with any signed proposals or order confirmations, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior discussions, representations, or agreements, whether oral or written.

15. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Waiver

Failure by Animus Liber LLC to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
